1.1 Clients must use NEXADEI LLC services solely for lawful purposes and agree to abide by all applicable laws and regulations. Unauthorized or abusive usage of services is prohibited.
1.2 Clients are responsible for the accuracy of the information and content provided for the execution of services. NEXADEI LLC will not be held liable for errors arising from inaccurate or incomplete client-provided data.
2.1 All project timelines are estimates and may vary depending on the complexity of the project and the responsiveness of the client. Delays caused by the client’s failure to provide required materials or feedback will extend delivery dates accordingly.
2.2 Deliverables include only the agreed-upon items outlined in the service agreement. Any requests for additional features or changes beyond the original scope of work will be subject to additional charges and adjusted timelines.
2.3 NEXADEI LLC reserves the right to substitute equivalent technologies or solutions if unforeseen technical constraints arise.
3.1 All payments must be made in accordance with the terms outlined in the service agreement. Failure to comply with payment schedules will result in delays or suspension of services.
3.2 Any disputes regarding invoices must be raised within 10 business days of receipt. Failure to dispute within this timeframe constitutes acceptance of the charges.
3.3 NEXADEI LLC reserves the right to retain ownership of deliverables until full payment has been received.
4.1 Clients are entitled to the number of revisions specified in their service agreement. Requests for additional revisions beyond the agreed limit will incur additional fees.
4.2 Feedback must be provided in clear, written communication to ensure accurate implementation of revisions.
4.3 Unresponsiveness from the client for more than 30 calendar days without prior notice may result in project closure, and no refunds will be issued for work already completed.
5.1 NEXADEI LLC commits to maintaining the confidentiality of all client-provided materials and information, except where disclosure is required by law or expressly permitted by the client.
5.2 Clients agree to comply with applicable data protection laws when providing personal or sensitive information for their projects.
5.3 NEXADEI LLC will not be held responsible for data breaches caused by third-party service providers or client negligence.
6.1 Ownership of final deliverables transfers to the client upon full payment, except for licensed third-party assets, which remain subject to the original licensing terms.
6.2 NEXADEI LLC retains the right to showcase completed projects in portfolios, case studies, and marketing materials unless otherwise agreed upon in writing.
6.3 Clients must secure appropriate licenses for third-party assets, such as fonts, images, and software, used in their projects, unless explicitly included in the service agreement.
7.1 NEXADEI LLC cannot guarantee specific outcomes (e.g., increased website traffic, higher conversion rates) as these depend on numerous external factors beyond its control.
7.2 Services provided are intended as tools to assist clients in achieving their goals, and success depends on the client's utilization and adherence to best practices.
8.1 Either party may terminate the service agreement by providing written notice. Termination does not exempt the client from payment obligations for work completed up to the termination date.
8.2 NEXADEI LLC reserves the right to terminate services immediately if a client breaches these conditions, fails to provide required materials, or engages in abusive behavior.
9.1 In the event of disputes, both parties agree to first attempt resolution through good-faith negotiation.
9.2 If negotiation fails, disputes will be resolved through binding arbitration in Missouri, in accordance with state laws.
9.3 These Conditions shall be governed by the laws of the State of Missouri, without regard to its conflict of laws principles.
10.1 NEXADEI LLC reserves the right to modify these Conditions at any time. Clients will be notified of significant changes, and continued use of services constitutes acceptance of the updated Conditions.
