1. Acceptance of Terms

By accessing or utilizing the NEXADEI LLC website ("Site") and/or services ("Services"), you expressly agree to adhere to and be legally bound by these Terms and Conditions ("Terms"). Non-acceptance of these Terms prohibits access to our Site and Services.

2. Services Provided

NEXADEI LLC specializes in the provision of comprehensive digital solutions, including but not limited to:

• Advanced web design and development.
• Strategic branding and graphic design.
• Digital marketing consultancy and execution.
• Multimedia production and creative content development.

Specific service deliverables, pricing structures, and timeframes will be delineated within individualized service agreements entered into with each client.

3. Client Responsibilities

Clients are expected to fulfill the following obligations to ensure timely and efficient project execution:

• Provide accurate, complete, and timely information and materials as requested.
• Respond to communications and approvals within agreed timelines.
• Comply with all payment schedules outlined in their service agreements.

Failure to meet these responsibilities may result in project delays, additional charges, or termination of services.

4. Payment Terms

• Payments must strictly conform to the schedules delineated in the respective service agreements.
• For engagements exceeding $500, a non-refundable deposit of 50% is required prior to project commencement, with the balance payable upon delivery.
• Late payments may incur a penalty fee of [Insert Fee, e.g., 5% of the outstanding balance per month].
• Refunds are issued solely in accordance with the Cancellation Policy outlined herein.

5. Revisions Policy

6. Cancellation and Refund Policy

• Clients may terminate services at any time by providing written notice to NEXADEI LLC.
• Refund eligibility is determined as follows:
  • Prior to project initiation: Full refund of the deposit.
  • After project initiation: 50% of the deposit is retained to compensate for preparatory work.
  • Post-completion: No refunds will be issued.
• NEXADEI LLC reserves the right to terminate services if the client breaches these Terms or fails to provide requisite materials or payments.

7. Intellectual Property

• Ownership of final deliverables transfers to the client upon full payment.
• NEXADEI LLC retains all rights to source files, templates, and proprietary tools employed in creating the deliverables unless otherwise agreed upon in writing.
• Deliverables may not be modified, resold, or redistributed without prior written consent from NEXADEI LLC.

8. Privacy Policy

Client privacy is of paramount importance. Refer to our Privacy Policy for comprehensive details regarding data collection, usage, and protection.

9. Limitation of Liability

• NEXADEI LLC shall not be held liable for:
  • Delays resulting from third-party providers or client omissions.
  • Losses of data or revenue arising from the utilization or misapplication of our services.
  • Unauthorized alterations to delivered products by the client or third parties.
• The maximum liability under any claim shall not exceed the total amount paid for the service in question.

10. Dispute Resolution

• Disputes arising from these Terms or the use of our Services shall first be addressed through good-faith negotiation.
• Should negotiation fail, disputes will be resolved through binding arbitration conducted in Missouri, in accordance with state laws.

11. Governing Law

These Terms shall be governed by and construed under the laws of the State of Missouri, without regard to its conflict of laws principles.

12. Modifications to Terms

NEXADEI LLC reserves the unilateral right to modify these Terms at any time. Significant changes will be communicated to clients, and continued use of the Site or Services constitutes acceptance of the revised Terms.
